TERMS OF SERVICE

Last updated September 27, 2026

AGREEMENT TO OUR LEGAL TERMS

We are Authority Index Labs, Inc., doing business as Tessera ("Company," "we," "us," "our"), a company registered in Delaware, United States at 8 The Green, Dover, DE 19901.

We operate the website authorityindexlabs.com, the website your-tessera.com, the Tessera web application at app.your-tessera.com (the "Web App"), and the Tessera mobile application for iOS and Android (the "Mobile App"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services"). "App" means the Mobile App and the Web App together, except where a provision expressly applies only to one of them.

Tessera offers a free plan and paid subscription tiers. Current tier names, prices, billing periods, and usage allowances are shown in the Services and on our pricing page at the time of purchase. Subscription billing is managed through RevenueCat together with Apple, Google, and Stripe, as described in the "PURCHASES AND PAYMENT" section below. Authority Index Labs, Inc. does not retain payment card data on its servers.

You can contact us by phone at +1 (931) 807-2142, email at support@authorityindexlabs.com, or by mail to 2000 Mallory Lane, Suite 290 PMB 1234, Franklin, TN 37067, United States.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Authority Index Labs, Inc., concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We will provide you with prior notice of any scheduled changes to the Services you are using. The modified Legal Terms will become effective when they are posted, or on the effective date shown in the notice we display in the app or on the web. By continuing to use the Services after the effective date of any changes, you agree to be bound by the modified terms. When you create an account, you will be asked to affirmatively accept these Legal Terms, and we record the date and the version you accepted.

When we make a material change to these Legal Terms, we ask you to accept the updated version in the app or on the web before you continue using the Services, and we record that acceptance the same way. Where the law requires advance notice of a change, we will also give you that notice by email at the address on your account before it takes effect. Changes that are not material, such as corrections, clarifications and formatting, take effect when they are posted.

Material changes do not apply retroactively to a dispute that arose before the change. If you do not agree to a change, you may stop using the Services and delete your account rather than accept it, and for anything that happened before then you remain bound by the version you last accepted.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

We recommend that you print a copy of these Legal Terms for your records.

TABLE OF CONTENTS

1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

Eligibility and territory

The Services are offered only to individuals located in, and resident in, the United States, Canada, Australia, New Zealand, and Singapore (the "Permitted Territories"). The Services are not offered to, and may not be used by, residents of the European Economic Area, the United Kingdom, or Switzerland, and we do not direct the Services to those territories. By creating an account you represent and warrant that you are located in and resident in a Permitted Territory. We may verify location by technical means and may refuse, suspend, or terminate accounts we reasonably believe originate outside the Permitted Territories, without refund except as required by law. You may not use a virtual private network, proxy, or other means to misrepresent your location in order to access the Services. You further represent that you are not located in, organized under the laws of, or ordinarily resident in a country subject to comprehensive United States sanctions, and that you are not listed on any United States government list of prohibited or restricted parties. You must be at least 18 years old to use the Services.

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.

The Content and Marks are provided in or through the Services "AS IS" for your personal and internal business use. This restriction applies to our Content and Marks. It does not restrict your use of Output generated for you, which is governed by the "INPUT, OUTPUT, AND AI-GENERATED MATERIAL" section.

Your use of our Services

Subject to your compliance with these Legal Terms, including the "PROHIBITED ACTIVITIES" section below, we grant you a non-exclusive, non-transferable, revocable license to:
solely for your personal and internal business use.

Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

If you wish to make any use of the Services, Content, or Marks other than as set out in this section or elsewhere in our Legal Terms, please address your request to: support@authorityindexlabs.com. If we ever grant you the permission to post, reproduce, or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.

Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

Your submissions and contributions

Please review this section and the "PROHIBITED ACTIVITIES" section carefully prior to using our Services to understand the (a) rights you give us and (b) obligations you have when you post or upload any content through the Services.

Submissions: If you directly send us any question, comment, suggestion, idea, feedback, or feature request about the Services ("Submissions"), that material is Feedback and is governed by the "FEEDBACK" section below. You do not assign to us, and we do not claim ownership of, any intellectual property rights in Your Content.

Contributions: The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality during which you may create, submit, post, display, transmit, publish, distribute, or broadcast content and materials to us or through the Services, including but not limited to text, writings, video, audio, photographs, music, graphics, comments, reviews, rating suggestions, personal information, or other material ("Contributions"). Any Submission that is publicly posted shall also be treated as a Contribution.

The Services are single-user. Your Contributions are not made viewable to other users of the Services or through third-party websites, and nothing in these Legal Terms treats them as non-confidential.

When you post Contributions, you grant us a limited operational license: The only license you grant us in Your Content is the limited, non-exclusive, worldwide, royalty-free license set out in the "YOUR CONTENT" section below, which permits us to host, store, encrypt, transmit, reproduce, and process Your Content solely in order to operate, secure, and provide the Services to you. We do not sell Your Content, publish it, use it for advertising, or use it to train any AI model, whether ours or a third party's.

This license does not include any right to use your name, company name, trademarks, service marks, trade names, logos, or personal or commercial images for advertising, marketing, or promotional purposes, and we will not do so without your separate written permission.

You are responsible for what you post or upload: By sending us Submissions and/or posting Contributions through any part of the Services or making Contributions accessible through the Services by linking your account through the Services to any of your social networking accounts, you:
You are solely responsible for your Submissions and/or Contributions and you expressly agree to reimburse us for any and all losses that we may suffer because of your breach of (a) this section, (b) any third party’s intellectual property rights, or (c) applicable law.

We may remove or edit your Content: Although we have no obligation to monitor any Contributions, we shall have the right to remove or edit any Contributions at any time without notice if in our reasonable opinion we consider such Contributions harmful or in breach of these Legal Terms. If we remove or edit any such Contributions, we may also suspend or disable your account and report you to the authorities.

Copyright infringement

We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please immediately refer to the "COPYRIGHT INFRINGEMENTS" section below.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are at least eighteen (18) years old; (5) you will not access the Services through automated or non-human means, whether through a bot, script or otherwise; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

4. USER REGISTRATION

Account creation. To use most features of the Services you must create an account. You must provide a valid email address that you control, must be at least eighteen (18) years old, and may hold only one account. You may not share, sell, rent, lend, or transfer your account or your account credentials to any other person, and you may not create accounts by automated means.

Account security. You are responsible for keeping the credentials you use to sign in confidential, and you are responsible for all activity that occurs under your account. Web App sessions remain signed in until you sign out, so you should always sign out when using a shared or public computer. You must notify us promptly at support@authorityindexlabs.com if you suspect any unauthorized access to or use of your account.

Verification. We may require you to verify your email address, may present bot-detection or other human-verification challenges, and may apply rate limits to account creation and sign-in, in each case in order to protect the Services and other users.

Username, and deleting your account. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable. You may delete your account at any time from within the Services. Deleting your account does not cancel a subscription purchased through the Apple App Store or Google Play; you must cancel that subscription directly with Apple or Google.

5. PURCHASES AND PAYMENT

How you are billed depends on where you subscribe. If you subscribe inside the iOS app, your subscription is sold and billed by Apple through your Apple ID. If you subscribe inside the Android app, it is sold and billed by Google through your Google account. If you subscribe on our website or in the Web App, Authority Index Labs, Inc. is the seller and merchant of record, and your payment is processed by Stripe through our subscription manager RevenueCat Web Billing. In every case, Authority Index Labs, Inc. does not receive or store your full payment card number, bank account number, or other payment instrument data; those are handled by Apple, Google, Stripe, and RevenueCat under their respective policies. A subscription purchased on one platform entitles you to the same plan across all platforms, but you can only manage, change, or cancel it where you bought it.

Taxes. Prices are exclusive of taxes. Where we are the merchant of record, we will charge any sales, use, value added, goods and services, or similar taxes we are required to collect based on your billing address, and you are responsible for any other taxes arising from your purchase.

The following payment methods may be supported by those processors where applicable:

-  Visa
-  Mastercard
-  American Express
-  PayPal
-  apple pay
-  Google Pay
-  Discover

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in US dollars.

You agree to pay all charges at the prices then in effect for your purchases, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

We reserve the right to refuse any order placed through the Services. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same payment method, and/or orders that use the same billing or shipping address. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors.

6. SUBSCRIPTIONS

Billing and Renewal

Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order. The length of your billing cycle will depend on the type of subscription plan you choose when you subscribed to the Services.

Free Trial

New accounts begin with a 10-day free trial, which starts on the day the account is created and is available once per person. No payment method is collected to begin the trial, and nothing is charged automatically at any point during or after it. The trial does not convert into a paid subscription and there is no subscription to cancel while it is running. We will email you before your free trial ends so the pause does not come as a surprise.

When the trial period ends, generating AI responses and adding new information to your memory pause. Your account remains fully reachable: you can sign in, read everything held in your memory, request a copy of your data, and delete your account at any time, whether or not you ever purchase a plan.

To resume generating responses and adding to your memory after the trial period ends, you choose and purchase a subscription plan. That purchase is a new transaction that you initiate. The recurring billing, renewal and cancellation terms set out in this section attach to that purchase, and only from the moment it is made. They do not attach to the free trial.

Accounts created before the free trial period was introduced are not subject to it and continue on the terms under which they registered.

Cancellation

Cancellation of app store subscriptions. If you subscribed inside the iOS or Android app, your subscription is sold and billed through the app stores. On iOS your subscription is sold by Apple and billed to your Apple ID; on Android it is billed by Google through your Google account. Payment is charged to your Apple ID or Google account at confirmation of purchase. Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period, and your account is charged for renewal within 24 hours before the period ends, at the price disclosed at purchase. You can manage or cancel your subscription at any time in your Apple ID Settings > Subscriptions (iOS) or your Google Play subscriptions (Android); deleting the App does not cancel your subscription. Your cancellation will take effect at the end of the current paid term, and access continues until then. Any unused portion of a free trial is forfeited when you purchase a subscription. Refunds for App Store or Google Play purchases are handled solely by Apple or Google under their policies; Authority Index Labs, Inc. does not process those refunds. If you have any questions or are unsatisfied with our Services, please email us at support@authorityindexlabs.com.

Cancellation of web subscriptions. If you subscribed on our website or in the Web App, you may cancel at any time, online, in Account settings under Subscription, in as few steps as it took to subscribe. No phone call, email, or chat is required. Cancellation takes effect at the end of the current paid term. You keep access until then and are not charged again. You may also cancel by emailing support@authorityindexlabs.com, but the online mechanism is available to you at all times.

Automatic renewal of web subscriptions. YOUR SUBSCRIPTION AUTOMATICALLY RENEWS. Unless you cancel, your subscription renews at the end of each billing period, monthly for monthly plans, and your payment method is charged the then-current price for the plan you selected, plus applicable taxes, until you cancel. You authorize us and our payment processor to charge your payment method on this recurring basis without further approval for each charge. We will send you an email confirming your purchase that restates these renewal terms, the amount and frequency of the charge, and how to cancel. If we change the price of your subscription, we will notify you by email at least thirty (30) days before the change takes effect, and the change will apply only to renewals occurring after that notice. You may cancel before the renewal if you do not agree.

Failed payments. If a renewal payment fails, we may retry the charge and may suspend paid features until payment succeeds, and we may terminate the subscription after repeated failures.

Fee Changes

We may, from time to time, make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law.

7. RETURNS AND REFUNDS

This section is our refund policy. Plain language is intentional. It tells you what qualifies for a refund, what does not, and how to ask for one. Where you bought Tessera decides who handles your refund.

App store purchases (iOS and Android). If you subscribed or bought a usage top-up inside the Tessera mobile app, the app store processes the payment and handles all refunds. On iOS, Apple owns refunds end to end and we cannot issue, approve, or deny them; request an App Store refund at https://reportaproblem.apple.com using the Apple Account you purchased with. On Android, Google handles refunds under its own policies. Except as required by applicable law or by the applicable app store, app store payments are non-refundable by us.

Web purchases. If you subscribed or bought a top-up on our website or in the Web App, we process the payment and we handle refunds directly. The rest of this section governs those purchases.

What qualifies for a refund. We will refund a web subscription charge when any of the following is true: (a) Billing error, meaning you were charged the wrong amount, charged after you cancelled, or charged for a plan you did not select; (b) Duplicate charge, meaning you were charged more than once for the same subscription period; or (c) First-period goodwill window, meaning you contact us within fourteen (14) days of your first paid charge on a web subscription and have not substantially used that period's usage allowance, in which case we refund that charge in full.

What does not qualify. We do not provide refunds or credits for usage you have already consumed; for reaching a monthly usage allowance or a daily usage ceiling, which is how the plans are designed to work and is not a basis for a refund; for partial or unused portions of a billing period after the 14-day first-period window, including periods in which you did not use the Services; for renewal charges after the first paid period, though you can cancel at any time to stop future renewals; for dissatisfaction with a free trial ending, since a trial that ends does not itself charge you and subscribing afterward is a new purchase; or for downgrades, which apply going forward and do not refund the current period.

One-time usage top-ups. A usage top-up adds usage to your account immediately, so it is treated as consumed on purchase. We will refund a top-up only if it is a billing error or a duplicate charge, or if the top-up is completely unused. Once any part of a top-up has been used, it is non-refundable.

How to request a refund. Email support@authorityindexlabs.com from the email address on your Tessera account and include the date of the charge, the amount charged, whether it was a subscription or a top-up, and a short note on why you are requesting the refund. Request first-period goodwill refunds within fourteen (14) days of your first paid charge. For billing errors and duplicate charges, contact us as soon as you notice; we recommend within sixty (60) days so your statement still shows the charge, but we will always correct a genuine billing error we can verify.

Our response time and how refunds are paid. We will acknowledge and respond to a refund request within five (5) business days. Approved web refunds are issued to your original payment method; we do not issue cash, store credit, or refunds to a different card or account. Once approved, a refund typically appears on your statement within five (5) to ten (10) business days, depending on your bank or card issuer.

Chargebacks. If you believe a charge is wrong, please contact us first at support@authorityindexlabs.com. We can almost always resolve a genuine billing error faster than a bank dispute. Opening a chargeback before contacting us can lock the funds while the dispute runs and delay the outcome for both of us.

Mandatory consumer rights. Nothing in these Legal Terms excludes, restricts, or modifies any guarantee, right, or remedy you have that cannot be excluded under applicable consumer law, including the Australian Consumer Law, the New Zealand Consumer Guarantees Act 1993, Singapore's Consumer Protection (Fair Trading) Act, and Canadian provincial consumer protection legislation. Where such a law applies, our liability is limited to the extent that law permits.

9. YOUR CONTENT

Your Content. Your Content means everything you submit to or generate through the Services, including messages, uploads, voice recordings, documents, imported material, and the memory profile derived from them. You retain all ownership of Your Content. You grant Authority Index Labs, Inc. a limited, non-exclusive, worldwide, royalty-free license to host, store, encrypt, transmit, reproduce, and process Your Content, and to transmit it to the AI service providers and infrastructure providers identified in these Legal Terms, solely for the purpose of operating, securing, and providing the Services to you and for no other purpose. This license terminates when you delete the relevant content or your account, except for backup copies purged on our ordinary retention cycle and records we are required by law to retain. We do not sell Your Content, publish it, use it for advertising, or use it to train any AI model, whether ours or a third party's. The Services are single-user. Your Content is not made viewable to other users, and nothing in these Legal Terms treats Your Content as non-confidential.

10. FEEDBACK

Feedback. If you send us a suggestion, idea, or feature request about the Services ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use it without obligation to you. Feedback does not include Your Content.

11. MOBILE APPLICATION LICENSE

Use License

This section applies only to your use of the Mobile App obtained from the Apple App Store or Google Play. It does not apply to the Web App or to subscriptions purchased through our website, and neither Apple Inc. nor Google LLC is a party to, a beneficiary of, or responsible for, web-based accounts or purchases.

If you access the Services via the Mobile App, then we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on wireless electronic devices owned or controlled by you, and to access and use the App on such devices strictly in accordance with the terms and conditions of this mobile application license contained in these Legal Terms. You shall not: (1) except as permitted by applicable law, decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the App; (2) make any modification, adaptation, improvement, enhancement, translation, or derivative work from the App; (3) violate any applicable laws, rules, or regulations in connection with your access or use of the App; (4) remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) posted by us or the licensors of the App; (5) resell, sublicense, or commercially redistribute the App itself, or use the App for any purpose for which it is not designed or intended, provided that nothing in this clause restricts your ordinary personal or internal business use of Output generated for you; (6) make the App available over a network or other environment permitting access or use by multiple devices or users at the same time; (7) use the App for creating a product, service, or software that is, directly or indirectly, competitive with or in any way a substitute for the App; (8) use the App to send automated queries to any website or to send any unsolicited commercial email; or (9) use any proprietary information or any of our interfaces or our other intellectual property in the design, development, manufacture, licensing, or distribution of any applications, accessories, or devices for use with the App.

Apple and Android Devices

The following terms apply when you use the App obtained from either the Apple Store or Google Play (each an "App Distributor") to access the Services: (1) the license granted to you for our App is limited to a non-transferable license to use the application on a device that utilizes the Apple iOS or Android operating systems, as applicable, and in accordance with the usage rules set forth in the applicable App Distributor’s terms of service; (2) we are responsible for providing any maintenance and support services with respect to the App as specified in the terms and conditions of this mobile application license contained in these Legal Terms or as otherwise required under applicable law, and you acknowledge that each App Distributor has no obligation whatsoever to furnish any maintenance and support services with respect to the App; (3) in the event of any failure of the App to conform to any applicable warranty, you may notify the applicable App Distributor, and the App Distributor, in accordance with its terms and policies, may refund the purchase price, if any, paid for the App, and to the maximum extent permitted by applicable law, the App Distributor will have no other warranty obligation whatsoever with respect to the App; (4) you represent and warrant that (i) you are not located in a country that is subject to a US government embargo, or that has been designated by the US government as a "terrorist supporting" country and (ii) you are not listed on any US government list of prohibited or restricted parties; (5) you must comply with applicable third-party terms of agreement when using the App, e.g., if you have a VoIP application, then you must not be in violation of their wireless data service agreement when using the App; and (6) you acknowledge and agree that the App Distributors are third-party beneficiaries of the terms and conditions in this mobile application license contained in these Legal Terms, and that each App Distributor will have the right (and will be deemed to have accepted the right) to enforce the terms and conditions in this mobile application license contained in these Legal Terms against you as a third-party beneficiary thereof.
Apple-Specific Terms. These Legal Terms are concluded between you and Authority Index Labs, Inc. only, and not with Apple Inc. ("Apple"). Apple is not responsible for the App or its content. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App. Authority Index Labs, Inc., not Apple, is solely responsible for the App, its content, any product warranties (whether express or implied, to the extent not effectively disclaimed), and the handling of any claims relating to the App, including (a) product-liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; (c) claims arising under consumer-protection, privacy, or similar legislation; and (d) any third-party claim that the App or your possession and use of it infringes that third party's intellectual property rights, which claim Authority Index Labs, Inc. will be solely responsible for investigating, defending, settling, and discharging. You and Authority Index Labs, Inc. acknowledge that Apple and its subsidiaries are third-party beneficiaries of this "MOBILE APPLICATION LICENSE" section only, and that upon your acceptance Apple will have the right (and is deemed to have accepted the right) to enforce this section against you as a third-party beneficiary thereof. Apple is not a third-party beneficiary of, and has no right to enforce, any other provision of these Legal Terms, and has no rights in respect of the Web App or of any subscription purchased through our website or in the Web App.

You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Services or relating to any applications you use or install from the Services. Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party. 15. COPYRIGHT INFRINGEMENTS

DMCA policy. We respect the intellectual property rights of others and respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act, 17 U.S.C. § 512 (the "DMCA").

Designated Copyright Agent. Notifications of claimed copyright infringement should be sent to our designated agent: Copyright Agent, Authority Index Labs, Inc., 2000 Mallory Lane, Suite 290 PMB 1234, Franklin, TN 37067, United States; copyright@authorityindexlabs.com.

Notification of claimed infringement. To be effective under 17 U.S.C. § 512(c)(3), your written notification (a "Notification") must include substantially all of the following: (1) a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (2) identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single Notification, a representative list of such works at that site; (3) identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material; (4) information reasonably sufficient to permit us to contact you, such as an address, telephone number, and, if available, an email address; (5) a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (6) a statement that the information in the Notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. A copy of your Notification may be sent to the person who posted or stored the material addressed in it.

Misrepresentations. Under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material or activity is infringing, or that material or activity was removed or disabled by mistake or misidentification, may be liable for damages, including costs and attorneys fees. If you are not certain that material located on or accessible through the Services infringes your copyright, you should consult an attorney before sending a Notification.

On receipt of a valid counter-notification we may restore the removed material in accordance with the DMCA.

Repeat infringers. We have adopted and will reasonably implement a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers of copyright.

16. TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

On termination we will make your data available for export for thirty (30) days where the termination is not for cause, after which we delete it in accordance with our Privacy Policy. If we terminate without cause, we will refund the unused portion of any prepaid term purchased on the web.

17. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services. We also reserve the right to modify or discontinue all or part of the Services without notice at any time. Subject to the notice requirements in the "SUBSCRIPTIONS" section, we will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in these Legal Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases in connection therewith.

18. GOVERNING LAW

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Tennessee applicable to agreements made and to be entirely performed within the State of Tennessee, without regard to its conflict of law principles.

19. DISPUTE RESOLUTION

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. Notwithstanding the foregoing, either you or we may bring an individual action in small claims court for any Dispute within the scope of that court's jurisdiction, in lieu of arbitration, so long as the action remains in that court and proceeds on an individual (non-class) basis. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the American Arbitration Association (AAA) website. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Tennessee. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the  state and federal courts located in Tennessee, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Legal Terms.

In no event shall any Dispute brought by either Party related in any way to the Services be commenced more than one (1) year after the cause of action arose, except where a longer period is required by applicable law. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons. Nothing in this "Restrictions" paragraph limits the right of either Party to bring an individual action in small claims court as permitted above.

Batching of mass arbitrations. If one hundred (100) or more substantially similar arbitration demands against us are filed by, or with the assistance of, the same law firm or coordinated group of counsel within a ninety (90) day period, the Parties agree that those demands will be administered in staged batches of no more than one hundred (100) demands at a time. The Parties will cooperate with the AAA to identify the demands in each batch, a single arbitrator will be appointed for each batch, and the arbitrator will resolve common issues in that batch before any later batch proceeds. Any applicable statute of limitations is tolled for demands awaiting their batch. If this batching protocol is held unenforceable, the affected demands will proceed in a court of competent jurisdiction identified above.

Severability of the class-action waiver. If the class-action waiver in this "Restrictions" paragraph is held to be unenforceable as to a particular claim or request for relief, then the "Binding Arbitration" provision is null and void as to that claim or request for relief only, and that claim or request for relief must be brought in a court of competent jurisdiction identified above. The remainder of these Legal Terms, and arbitration of all other claims, remain in full force and effect.

Your Right to Opt Out of Arbitration

You may opt out of this "Binding Arbitration" provision and the "Restrictions" (class-action waiver) above by sending us written notice within thirty (30) days of the date you first accept these Legal Terms (or, if later, within thirty (30) days of the date these arbitration provisions first appear in Legal Terms you have accepted). Send your notice to Authority Index Labs, Inc. at support@authorityindexlabs.com or 2000 Mallory Lane, Suite 290 PMB 1234, Franklin, TN 37067, United States, and include your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor we will be required to arbitrate Disputes; opting out has no effect on any other provision of these Legal Terms.

Exceptions to Informal Negotiations and Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.

We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

25. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

27. MISCELLANEOUS

These Legal Terms and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or use of the Services. You agree that these Legal Terms will not be construed against us by virtue of having drafted them. 28. THIRD-PARTY AI PROVIDER TERMS ACKNOWLEDGMENT

When using Tessera, your conversations are processed by third-party AI service providers, each subject to their own terms of service. By using Tessera, you acknowledge that the AI provider's terms apply to your interactions in addition to these Terms. Tessera is not responsible for AI providers' policies, model behaviors, or content their models generate. The providers we currently use are listed in our Privacy Policy, and that list is kept current as providers change. We may add, remove or substitute providers, including for automated background processing that supports the Service. Where we do so for background processing, we require providers that do not retain your content beyond what is needed to answer the request. A change of provider is reflected in the Privacy Policy rather than by amendment of these Terms.

29. AI-GENERATED CONTENT & CRISIS RESOURCES

Tessera generates responses using artificial intelligence. AI-generated content may contain inaccuracies and is not a substitute for professional advice. Where Tessera detects content related to medical, legal, financial, or mental health topics, contextual disclaimers are appended to responses. In cases of mental health crisis or imminent self-harm, Tessera is designed to withhold a substantive response and to direct you to the 988 Suicide and Crisis Lifeline (call or text 988 in the United States) or to emergency services. These safeguards are automated and may not identify every situation; Tessera is not a crisis service, and in an emergency you should always call 911 (United States) or your local emergency number. You agree not to rely on Tessera for emergency, medical, legal, financial, or other professional decisions.

30. MEMORY API DEVELOPER USE

When the Tessera Memory API becomes available to third-party developers, those developers will be bound by separate developer terms governing their access to user-permissioned data. Those terms do not exist yet and no third-party developer access is available today; we will publish them before the Memory API opens to third parties. Developer applications integrating with Tessera must respect the OAuth scopes a user has granted, must not retain user data beyond authorized purposes, and must honor user revocation requests. Tessera reserves the right to revoke developer access for any violation of these obligations.

31. PROHIBITED SUBMISSION OF CREDENTIALS AND HIGH-RISK PERSONAL DATA

Tessera is not designed to store authentication credentials or high-risk identifiers, and you must not submit them to the Services or ask Tessera to remember them. This includes, without limitation: (a) passwords, passcodes, PINs, or security question answers for any account or device, other than the credentials you use to sign in to your Tessera account, whether a password you create or a third-party sign-in you choose; (b) full payment card numbers, card verification codes, or bank account and routing numbers; (c) government-issued identification numbers, including Social Security numbers, passport numbers, and driver's license numbers; (d) private cryptographic keys, recovery seed phrases, or digital wallet credentials; and (e) API keys or access tokens for any service. Tessera includes a sensitive-information detection layer. If content of this kind is detected in a conversation, it is not saved to your memory profile automatically; it is routed to a review queue and is stored only if you explicitly approve it. We reserve the right to decline to store such content even where you approve it. Where you wish to connect Tessera to another service (such as your calendar or email), you must use the in-app connector authorization flows, which use industry-standard OAuth and never expose your passwords for those services to Tessera. To the maximum extent permitted by applicable law, Authority Index Labs, Inc. is not responsible for any loss, account compromise, or damage arising from your submission of credentials or high-risk identifiers to the Services in violation of this section.

32. SCOPE OF PASSWORD AND PAYMENT DATA COLLECTION

The only sign-in credential we ever collect is the password you create for your Tessera account, and only where you choose to sign in with a password rather than with a third-party sign-in such as Apple or Google. More generally, the credentials you use to sign in to your Tessera account, whether a password you create or a third-party sign-in you choose, are the only sign-in credentials associated with the Services. It is stored exclusively in salted, hashed form and is never readable by us or our personnel. We do not collect, store, or have access to passwords for any third-party service; connections between Tessera and third-party services are authorized exclusively through OAuth flows that never expose those passwords to Tessera. We do not collect or store payment card numbers on our systems; all payment processing is handled by our payment processors (RevenueCat, Apple App Store, Google Play, and Stripe) as described in the Payment Data section of this policy.

33. AI MODEL TRAINING OPT-OUT AND PROVIDER DATA HANDLING

Authority Index Labs, Inc. configures each of its integrations with AI Service Providers so that your conversation content is not used to train or improve those providers' models. The basis for that differs by provider and is set out here rather than generalised. For Anthropic, OpenAI and Google Cloud Vertex AI, the providers' own published terms for their business and API interfaces state that customer content is not used for model training; with OpenAI, Authority Index Labs, Inc. has additionally disabled every organisation-level data-sharing option offered by that provider. For xAI, Authority Index Labs, Inc. has enabled that provider's Zero Data Retention setting, under which prompts, responses and associated metadata are not stored, logged or used for any purpose beyond serving the request. For Voyage AI, Authority Index Labs, Inc. has exercised that provider's training opt-out; content transmitted after the opt-out is deleted by that provider immediately following processing. For OpenRouter, that provider states as published policy that it does not use inputs or outputs for model training and does not store prompts or responses; Authority Index Labs, Inc. has left that provider's optional logging disabled, enabled its account-wide Zero Data Retention setting, and restricts every request to hosts that provider classifies as retaining nothing. That classification is that provider's published assessment of the host and is not a term negotiated directly with the host. Authority Index Labs, Inc. holds executed Data Processing Addenda with Anthropic and OpenAI; those addenda govern data protection and do not themselves address model training. Where we add a provider for background processing, its position on training and retention is recorded in our Privacy Policy at the time it is added. The current provider list is set out in the "AI SERVICE PROVIDER TERMS AND CURRENT PROVIDER LIST" section. Content transmitted to a provider is used solely to generate the response to your conversation. Not being used for training is distinct from not being retained: OpenAI retains a log of API activity for up to thirty (30) days for abuse-monitoring purposes under its own published policy, and that log may be subject to human review by that provider where its policies so require, after which it is deleted. Because message-safety screening is performed through OpenAI, that retention applies to messages generally. The remaining providers named above either do not retain conversation content by default or, under the settings described above, retain none. We will update this section as that status changes. Your structured memory profile is created and stored only by Tessera; it is never stored inside any AI Service Provider's own memory or personalization features, and deleting your Tessera account deletes the profile.

34. ELIGIBILITY: MINIMUM AGE 18

Notwithstanding anything to the contrary elsewhere in these Legal Terms, the Services are intended solely for users who are at least eighteen (18) years of age. By accessing or using the Services, you represent and warrant that you are at least 18 years old. Persons under the age of 18 are not permitted to access, register for, or use the Services, and we do not offer a parental-consent pathway for minors. We do not knowingly solicit information from, market to, or permit use of the Services by anyone under 18. If we learn that an account has been created by, or personal information has been collected from, a person under 18, we will deactivate the account and take reasonable measures to promptly delete the associated data from our records. If you become aware of any data we may have collected from a person under 18, please contact us at support@authorityindexlabs.com.

35. AI SERVICE PROVIDER TERMS AND CURRENT PROVIDER LIST

The AI and processing service providers currently used by Tessera, together with a link to each provider's applicable terms and usage policies, are listed in our Privacy Policy. Your conversations are processed by one or more of those providers depending on the model you select, or that Tessera routes to for automated background processing. By using the Services, you acknowledge that the applicable provider's terms and usage policies apply to your interactions in addition to these terms. We keep that list current as providers are added, removed or substituted, and a change to it is not an amendment of these terms.

36. VERIFICATION OF AI-GENERATED INFORMATION

AI-generated responses can be incorrect, incomplete, or fabricated (sometimes called "hallucinations") even when they appear confident and well-sourced. You are responsible for independently verifying any information you intend to rely on or act upon, including dates, figures, calculations, citations, names, and instructions. Tessera is not a substitute for licensed medical, legal, financial, tax, mental health, nutritional, or other professional advice, and no output of the Services creates a professional-client relationship of any kind.

37. INPUT, OUTPUT, AND AI-GENERATED MATERIAL

Input and Output. "Input" means what you submit to the Services. "Output" means the material the Services generate in response, including text, code, documents, artifacts saved to your Library, and generated images. As between you and us, and to the extent permitted by law, we assign to you all our right, title, and interest in Output generated for you, subject to your compliance with these Legal Terms. You are responsible for Input and Output and for determining whether either is suitable for your purpose.

Similarity of Output. Generative systems produce similar or identical Output for different users submitting similar Input. Output is not unique to you, we make no representation that Output is original or free of third-party rights, and Output may not be copyrightable in your jurisdiction. You are responsible for clearing any third-party rights before commercial use of Output.

Restrictions on Output. You may not use Input, Output, or any part of the Services to develop, train, fine-tune, evaluate, benchmark for release, or improve any machine learning model, foundation model, or AI product that competes with the Services or with any AI service provider, or in any manner prohibited by an AI service provider's terms or usage policies.

Export. You may export Output and saved Library items for your own use. Export functionality is provided as a convenience, and we do not warrant that exported files will render or function in any particular environment.

38. PLANS, USAGE LIMITS, AND ADD-ON USAGE

Usage-based limits. Every plan, including the free plan, includes a defined monthly allowance of AI usage, measured by the underlying processing cost of your requests rather than by a fixed number of messages. Because different AI models cost different amounts to run, the number of messages an allowance supports varies with the models you choose and with the length and complexity of your conversations. Each plan also has a daily ceiling that limits how much of a monthly allowance can be used in a single day, so that one day of activity cannot exhaust the month. Current allowances and ceilings are shown in the Services and may change on notice.

What happens when an allowance is reached. If you reach your daily ceiling, new AI responses pause until the next day. If you reach your monthly allowance, new AI responses pause until your next billing cycle begins. Your memories, conversations, Library, and account remain fully accessible when an allowance is reached; only new AI responses are paused. Reaching an allowance is not a service failure and does not entitle you to a refund or credit.

Add-on usage. You may purchase an add-on usage credit, or top-up, as a one-time purchase. A top-up is applied to both your remaining monthly allowance and your daily ceiling so that it is usable immediately. Top-ups are consumed by usage, expire at the end of the billing cycle in which they are purchased, do not roll over, have no cash value, are not transferable, and are non-refundable except where required by law. A top-up grants usage only. It never changes your subscription tier or unlocks features reserved for a higher tier.

Fair use. We may apply rate limits, model routing, and abuse controls, and may suspend accounts whose usage patterns indicate automation, resale, or account sharing.

39. REFERRAL PROGRAM

If we make a referral program available, the following applies. You may share your personal referral link with individuals you know. You may not refer yourself or accounts you control, distribute your link through paid search, advertising, or spam, misrepresent Tessera or its pricing, create accounts in order to generate commissions, or use bots or automation.

Commission rate and basis. Where a user you validly introduced subscribes, you earn 10% of the Net Revenue we receive from that user's subscription payments for twelve months from their first payment. "Net Revenue" means the amount we actually receive and retain from a payment, after deducting app store and platform commissions charged by the distributor of the application, payment processing fees, and sales tax, VAT, GST and other transaction taxes. Net Revenue does not include amounts we never receive. Commission is calculated separately for each payment. Because store commissions, processing fees and taxes vary by store, by country and by payment method, the commission earned on two subscriptions at the same advertised price may differ.

Reversals. Commission is reversed in full if the underlying payment is refunded, charged back, or otherwise reversed.

When you get paid. Commission becomes eligible for payout sixty (60) days after it accrues, so that a later refund can be applied before money leaves our account. Payouts are made in batches on our own schedule rather than on request, and there is no minimum balance. We pay the cost of transferring your commission to you, and transfer fees are never deducted from your balance. Your commission balance is a record we maintain; it is not a deposit, it is not held in an account in your name, and it earns no interest.

Taking part in the referral program requires two things before you receive a referral link: completing payout onboarding with our payments partner, including identity verification and tax documentation, and accepting these referral program terms. We do this so that commission can only ever accrue to someone we are able to pay.

These referral program terms are versioned separately from the rest of these Legal Terms. If we change them, we will ask referrers to accept the updated version before they can continue taking part in the program, and no one who is not a referrer is asked to accept anything.

Payouts, and therefore participation in the program, are currently available only to referrers in the United States. Amounts paid may be reported to tax authorities, including on IRS Form 1099, and you are solely responsible for any taxes on amounts you receive.

We may withhold, reduce, or reverse commissions we reasonably believe result from fraud, abuse, or a breach of these Legal Terms, and we may modify, suspend, or terminate the referral program at any time. Accrued but unpaid commissions are forfeited if your account is terminated for breach.

Disclosing that you are paid. If you promote your referral link publicly, including on social media, in a video, in a newsletter, on a website, or anywhere else an audience can see it, you must clearly and conspicuously disclose that you are paid a commission. The disclosure must appear in the same place and the same format as the promotion itself, so that anyone who sees the promotion also sees the disclosure without having to click, scroll, or expand anything. You must not present yourself as an ordinary, uncompensated user. This is your obligation under the Federal Trade Commission Endorsement Guides. Failure to comply is grounds for withholding commission and for removing you from the program.

What happens to your balance. Apart from the forfeiture described above, commission does not expire, and we do not reduce or cancel it because you have been inactive. Where payouts are not yet available in your country, commission you have accrued stays recorded and is paid if and when payouts become available there; it is not cancelled. If we end your participation in the program without cause, or end the program itself, commission you have already accrued is paid on the normal schedule.

40. PREVIEW FEATURES

Some features of the Services are labeled beta or preview, for example voice dictation, connectors, and web billing. Preview features may change, may be limited in availability, and may be withdrawn at any time without notice. They are provided "AS IS" and without warranty of any kind, may carry lower usage or rate limits than generally available features, and are excluded from any service commitment. Use of a preview feature is at your discretion and at your own risk.

41. CONNECTORS AND CONNECTED ACCOUNTS

Where you choose to connect a third-party account to Tessera, such as a calendar or email account, you authorize that connection through the provider's own OAuth flow and you may revoke it at any time, either in the Services or with the provider. Data we receive through a connector is used only to provide the connected feature to you inside your own conversations. We do not sell connector data, we do not use it for advertising or to build advertising profiles, we do not use it to train any AI model, and we do not transfer it to third parties except to the infrastructure and AI service providers identified in these Legal Terms, acting on our behalf to deliver the feature you requested, or where required by law. Connector data is deleted when you revoke the connection or delete your account, subject to our ordinary backup retention cycle.
